Terms of Service for PingMeBud

Effective Date: January 28, 2026

These Terms of Service ("Terms") govern your access to and use of PingMeBud ("Application," "Software," or "Service"). By downloading, installing, or using PingMeBud, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using PingMeBud, you affirm that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and possess the legal authority to enter into this agreement. If you do not agree with any provision of these Terms, you must refrain from using the Application.

2. Description of Service

PingMeBud is a macOS desktop application designed for real-time audio monitoring and keyword notification. The Application:

  • Processes system audio output locally on your device
  • Performs on-device transcription using Whisper, optimized for Apple Silicon
  • Detects user-defined keywords within transcribed content
  • Delivers local system notifications upon keyword detection

All processing occurs exclusively on your device. PingMeBud does not transmit audio, transcriptions, or personal data to external servers.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use PingMeBud on macOS devices that you own or control, solely for personal, non-commercial purposes.

This license does not permit you to:

  • Modify, adapt, translate, or create derivative works of the Application
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code
  • Rent, lease, lend, sell, sublicense, or distribute the Application
  • Remove, alter, or obscure any proprietary notices or labels
  • Use the Application for any unlawful purpose or in violation of applicable laws

4. Intellectual Property Rights

PingMeBud and all associated intellectual property rights, including but not limited to trademarks, copyrights, patents, and trade secrets, are and shall remain the exclusive property of PingMeBud and its licensors. These Terms do not convey any ownership interest in the Application.

5. Third-Party Components

PingMeBud incorporates third-party components, including Whisper machine learning models. These components may be subject to their own licensing terms. By using PingMeBud, you agree to comply with all applicable third-party license agreements.

Machine learning models are downloaded from Hugging Face and stored locally on your device.

6. User Responsibilities

You agree to use PingMeBud in accordance with all applicable laws and regulations. You are solely responsible for:

  • Ensuring lawful use of the Application in your jurisdiction
  • Obtaining necessary consents when monitoring audio in environments where others may be present
  • Maintaining the security of your device and any data processed by the Application
  • Compliance with local privacy laws and regulations regarding audio recording and monitoring

7. Prohibited Uses

You shall not use PingMeBud to:

  • Monitor or record conversations without the consent of all parties where required by law
  • Engage in surveillance or eavesdropping prohibited by applicable law
  • Violate the privacy rights of any individual
  • Conduct any activity that is illegal, fraudulent, or harmful
  • Circumvent or disable any security features of the Application

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

  • The Application will meet your specific requirements
  • The Application will be uninterrupted, timely, secure, or error-free
  • Transcription results will be accurate or complete
  • Any defects in the Application will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PINGMEBUD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION, IF ANY.

10. Indemnification

You agree to indemnify, defend, and hold harmless PingMeBud and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Application
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your violation of any applicable laws or regulations

11. Termination

We reserve the right to terminate or suspend your license to use PingMeBud at any time, with or without cause, and without prior notice. Upon termination, you must cease all use of the Application and delete all copies from your devices.

Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PingMeBud operates, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be indicated by the "Effective Date" at the beginning of this document. Your continued use of the Application following any modifications constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to render it valid and enforceable while preserving the original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PingMeBud concerning the Application and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written.
